Terms and Conditions

These Terms of Service (“Terms”) constitute a legal agreement between Tanelly (“Company,” “we,” or “us”) and the entity or individual (“Client,” “you,” or “User”) accessing the ERP solutions at erp.tanelly.com.


1. Description of Services

erp.tanelly.com provides integrated business management software, including module-based solutions for accounting, inventory management, human resources, supply chain, and manufacturing (the “Service”).

2. Professional Use and Licensing

  • Business Entity: This Service is intended for business use. If you are entering into these Terms on behalf of a company, you represent that you have the legal authority to bind that entity.

  • Seat Licensing: Access is granted based on the number of “User Seats” purchased. Sharing individual login credentials between multiple employees is strictly prohibited.

3. Financial Terms and Payments

  • Fees: Client agrees to pay the fees associated with the selected ERP tier and any additional modules or users.

  • Taxes: All fees are exclusive of taxes, levies, or duties imposed by taxing authorities.

  • Non-Payment: Failure to pay subscription fees within 14 days of the due date will result in the temporary suspension of ERP access. Data will be retained for 30 days before permanent deletion.

4. Data Security and Confidentiality

  • Mission-Critical Data: We acknowledge that the data stored in the ERP is critical to your business operations. Tanelly employs enterprise-grade encryption (AES-256) and regular backups.

  • Confidentiality: Both parties agree to keep all non-public business information, trade secrets, and financial data strictly confidential.

  • Audit Logs: The Service maintains logs of user activity. Tanelly is not responsible for unauthorized actions taken by the Client’s internal administrators.

5. Service Level Agreement (SLA)

  • Uptime Goal: We strive for a 99.9% uptime availability, excluding scheduled maintenance.

  • Maintenance: Scheduled maintenance will typically occur during low-traffic hours. We will provide a minimum of 24 hours’ notice for any planned downtime.

6. Implementation and Customization

  • Configuration: You are responsible for the initial configuration and data migration unless a separate “Implementation Agreement” has been signed.

  • No Professional Advice: While the ERP includes accounting and HR tools, Tanelly does not provide professional tax, legal, or financial advice. All automated calculations should be verified by a qualified professional.

7. Intellectual Property

  • The Platform: Tanelly retains all rights, titles, and interests in the ERP software, including any custom developments or modifications.

  • Client Data: You retain sole ownership of your business data. You may export your data in standard formats (CSV/XLS) at any time during an active subscription.

8. Limitation of Liability

Limitation: To the maximum extent permitted by law, Tanelly shall not be liable for any loss of data, loss of business profits, or business interruption resulting from the use or inability to use the ERP. Our maximum liability is limited to the fees paid for the 6 months preceding the claim.

9. Termination of Service

  • By Client: You may terminate your account with 30 days’ written notice.

  • Data Retrieval: Upon termination, you will have a 15-day window to download your business records before the account is purged from our servers.

10. Governing Law

These Terms are governed by the laws of [Your Jurisdiction/Indonesia]. Any disputes shall be settled through binding arbitration in [Your City].
